Transfer Pricing Between Cyprus Subsidiaries and Uzbek Parent Groups

Transfer pricing is among the most heavily scrutinised areas of international tax. Where related parties transact with each other β a Cyprus subsidiary buying from its Uzbek parent, lending to it, or licensing IP to it β both tax authorities expect those transactions to be priced as if conducted between unrelated parties dealing at arm’s length.
The Arm’s Length Principle
Both Cyprus and Uzbekistan apply the arm’s length principle. Related-party transactions must reflect what unrelated parties operating under similar circumstances would have agreed. This applies to the sale of goods, provision of services, lending, IP licensing, and any other commercial flow between members of the same group.
The Cyprus Transfer Pricing Framework
Cyprus has implemented OECD-aligned transfer pricing rules. Companies conducting related-party transactions above prescribed thresholds must maintain a Master File (describing the multinational group) and a Local File (describing the Cyprus entity’s related-party transactions and the rationale behind their pricing). Documentation must be in place before the annual tax return is submitted.
Common Transactions and Their Typical Treatment
- Sales of goods between an Uzbek producer and its Cyprus trading subsidiary β typically priced using the Transactional Net Margin Method (TNMM) or comparable uncontrolled price benchmarks
- Provision of services (management, technical, administrative support) β typically priced on a cost-plus basis with a documented cost base and margin
- Financing arrangements β intra-group loans priced using market rates applicable to comparable third-party borrowing
- IP licensing β royalties priced by reference to comparable third-party licence agreements, with nexus-based allocation for IP Box eligibility
What Good Documentation Looks Like
Robust transfer pricing documentation describes the relevant related-party transactions, presents a functional analysis of the parties involved, justifies the pricing method selected, provides benchmarking analysis against comparable third-party data, and presents conclusions clearly. Documentation must be prepared contemporaneously β documentation assembled after a tax authority inquiry rarely produces a defensible position. Enalian Consulting supports Uzbek groups through the full transfer pricing cycle: designing pricing policies, preparing documentation packages, and supporting positions in the event of audit.
