REGISTRATION OF A NON-GOVERNMENTAL ORGANISATION IN CYPRUS

Non-Governmental Organizations (NGOs) play a vital role in Cyprus’ social, cultural, and economic development. Whether focused on education, health, the environment, or community growth, NGOs contribute significantly to the public good. In Cyprus, there are three main ways to establish an NGO: as an Association, a Foundation, or a Non-Profit Company. Each option comes with specific requirements, benefits, and obligations.

A) ASSOCIATION

To register as an Association, the organization must comply with specific provisions of Cyprus legislation on Associations and Foundations (Law 104(I)/2017).

It is important to note that, inter alia, a minimum of 20 natural persons (over 18 years old) as members is necessary Also, a specific minimum number of directors must be appointed, unless otherwise stated. The Association must also serve specific purpose/s provided by Law, with their main characteristic not being financial gain/profit.

Advantages of Association:

Gains legal personality, can enter contracts, own property, and be legally represented.

May be eligible for tax exemptions.

Can apply for grants from national or EU bodies.

Ability to represent its members and influence policy.

B) FOUNDATION

A foundation is established to manage property or assets granted for non-profit purposes, in line with the Cyprus Law on Associations and Foundations Law 104(I)/2017.

It is worth noting that, inter alia, the foundation must be managed by at least 3 persons (Trustees or Board of Directors) and there is a minimum threshold in regards to the value of the initial property. The Foundation could serve a range of purpose/s provided by Law, such as education, environmental protection and more. Cyprus Legislation also provides for some further obligations, including – but not limited to – the submission of annual financial statements.

C) NON-PROFIT COMPANY

Non-profit companies are incorporated under the Companies Law, Chapter 113.

The Objectives of a non-profit company must benefit the community (for example trade, art, science and more) Profits must be reinvested in the company’s mission with no distribution to members.

Specific statements provided by legislation, must be also included in the Articles of Association.

A Non-Profit company is governed by a Board of Directors and legislation provides for limitations in regards to the numbers of members permitted. Further obligations are also imposed by Law, including – but not limited to – audited accounts which should be filed annually.

Advantages:
