Redomiciliation to Cyprus: Transferring Your Foreign Company Without Losing Continuity

Businesses seeking to relocate to a reputable EU jurisdiction do not always need to liquidate and start again. Cyprus law permits redomiciliation, the transfer of a foreign company’s registered seat into Cyprus, allowing the company to preserve its legal personality, history, contracts and assets while becoming a Cyprus company.
Why Companies Redomicile to Cyprus
- Access to the EU single market and EU directives, including the Parent-Subsidiary and Interest & Royalties Directives;
- A competitive tax environment, including the participation exemption, IP Box regime and an extensive treaty network;
- Enhanced reputation and easier banking relationships compared with offshore jurisdictions;
- Continuity of existing contracts, licences and litigation, with no need for asset transfers.
Key Conditions
Redomiciliation into Cyprus is possible where the company’s current jurisdiction permits outbound migration and its constitutional documents allow continuation abroad. The company must adopt a name acceptable to the Cyprus Registrar and align its constitutional documents with the Cyprus Companies Law, Cap. 113.
The Process at a Glance
- Board and shareholder approvals in the existing jurisdiction;
- Application to the Cyprus Registrar of Companies with the prescribed documents, including a solvency declaration by the directors;
- Issuance of a temporary certificate of continuation, from which point the company is treated as a Cyprus company;
- De-registration in the country of origin within six months;
- Issuance of the permanent certificate of continuation.
Tax Considerations
Under the 2026 tax reform, companies that transfer their registered office to Cyprus are treated as incorporated in Cyprus and therefore as Cyprus tax residents by default. Inbound redomiciliation should be planned alongside exit tax exposure in the departing jurisdiction, the tax basis of assets on entry, and substance requirements going forward.
Our corporate and tax teams manage redomiciliations end-to-end, coordinating with counsel in the outbound jurisdiction to ensure a seamless transition. Speak to us if you are considering bringing your company to Cyprus.
