Outsourcing and Agent Arrangements for PSPs

Few payment institutions build every part of their operation in-house. Outsourcing critical functions to specialist providers, and distributing services through agents, are common features of the payments industry. Both come with specific regulatory obligations that Cyprus-licensed firms must observe.
Outsourcing Operational Functions
Where a payment institution outsources important operational functions, such as IT infrastructure, transaction processing or customer support, it remains fully responsible for compliance with its regulatory obligations. The Central Bank of Cyprus expects firms to have robust outsourcing policies, conduct due diligence on service providers, and maintain the ability to exercise effective oversight of outsourced functions.
Notification Requirements
Material outsourcing arrangements, particularly those involving critical or important functions, typically need to be notified to the regulator, and in some cases require prior approval, depending on the nature and materiality of the function being outsourced.
Appointing Agents
Payment institutions may provide payment services through agents acting on their behalf. Before an agent begins operating, the firm must register the agent with the regulator, providing details of the agent’s identity, the services to be provided, and evidence that internal control mechanisms are adequate to manage the relationship.
Ongoing Responsibility for Agents and Outsourced Providers
The payment institution remains fully liable for the acts and omissions of its agents and outsourced service providers as though they were its own. This means contractual arrangements, monitoring processes and audit rights need to be robust enough to give the firm genuine oversight, not just contractual comfort.
Building a Compliant Framework
Firms considering outsourcing or agent models should build due diligence, contractual controls and ongoing monitoring into their operational design from the outset, and engage with the Central Bank of Cyprus early where a proposed arrangement involves critical functions.
