Cyprus Company Annual Compliance: What You Must Do Every Year

A Cyprus company is not a ‘set it and forget it’ structure. Maintaining good standing requires a defined set of annual obligations, each with specific deadlines and consequences for non-compliance. This article lays out the annual compliance calendar a Cyprus company must follow, with the deadlines and the realistic effort involved at each stage.
Annual Return to the Registrar of Companies
Every Cyprus company must file an Annual Return with the Registrar of Companies, confirming details of directors, shareholders, registered office, and share capital. The filing is straightforward when the company is run properly and the records are maintained. Late filing attracts fines that escalate with delay.
Annual Levy
Cyprus imposes an annual levy on companies registered in Cyprus. The levy is payable by 30 June each year. Failure to pay results in penalties and, after extended non-compliance, removal from the register — which can have serious consequences for ongoing operations and for any assets the company holds.
Audited Financial Statements
Cyprus law requires every limited company to prepare annual financial statements in accordance with International Financial Reporting Standards (IFRS), and — for all but the smallest dormant companies — to have those statements audited by a licensed Cyprus auditor. The audit must be completed and the statements filed with the tax authorities and the Registrar within prescribed deadlines from the year-end.
Corporate Tax Return
The company must file an annual corporate tax return with the Cyprus Tax Department. The return reflects the audited results and computes any tax liability. The standard filing deadline is the end of the year following the tax year, but provisional tax payments fall earlier — typically due on 31 July and 31 December of the current tax year, based on the company’s own estimate of liability.
VAT Returns
Companies registered for VAT must file VAT returns quarterly, reflecting input and output VAT for the period. EU intra-community supplies generate additional reporting obligations through EC Sales Lists. VAT compliance is fast-moving — missed quarterly filings accumulate quickly into significant penalties.
Beneficial Ownership Filing
Companies must maintain and file beneficial ownership information through the UBO Register. This is updated annually and must reflect the current ultimate beneficial owners — the natural persons who own or control the company. Changes in beneficial ownership during the year must be reflected within prescribed timeframes.
Other Filings
Depending on activity, additional filings may apply:
- Transfer pricing documentation for related-party transactions above prescribed thresholds
- Country-by-country reporting for groups meeting EU thresholds
- Social insurance and payroll filings for employed staff
- Sector-specific filings for regulated activities such as financial services or fund management
What Compliance Costs
For a standard Cyprus private limited company with modest activity, annual compliance costs typically fall within a defined range covering audit, accounting, tax return preparation, secretarial work, registered office, and basic advisory support. Costs scale up with complexity — multiple subsidiaries, significant transaction volumes, VAT-heavy activity, or international operations all add to the bill.
The Cost of Getting It Wrong
Missing deadlines triggers penalties. Failing to file for multiple years can trigger strike-off proceedings, removing the company from the register and converting its assets to state property. Tax non-compliance triggers audit, reassessment, and surcharges. The economic cost of compliance is modest; the economic cost of non-compliance is substantial.
Enalian Consulting handles the complete annual compliance cycle for client companies — accounting, audit coordination, tax filings, secretarial work, and regulatory updates — so that business owners can focus on the underlying business rather than the maintenance of the corporate vehicle around it.
