Curaçao Gaming Authority – New Guidelines on Ownership and Control Changes

The Curaçao Gaming Authority (CGA) introduced new procedures regarding any amendments to the ownership or control structure of licensed gaming entities. These changes apply to both B2C and B2B operators and are critical for maintaining compliance under local regulatory requirements.

Under the revised framework, any changes involving Ultimate Beneficial Owners (UBOs), Qualified Interest Holders, or statutory directors now require prior written approval from CGA. No share transfers, appointments or similar actions may take place unless CGA has formally approved them in advance. Failure to secure the said approval may be considered as violation of the National Ordinance on Games of Chance (LOK).

Submission Process

Licensees must submit a complete package of corporate and personal documentation, which includes but is not limited to:

  • A draft share transfer agreement;
  • Updated share register;
  • A revised organizational structure chart;
  • Personal due diligence documents for each proposed UBO or qualified interest holder.

The personal documents required include:

  • A completed Personal History Disclosure Form (PHDF);
  • Certified copies of a valid passport, birth certificate, and proof of address;
  • A criminal record check (issued within the past 6 months);
  • Evidence of source of wealth.

All the above documentation must comply with CGA’s certification standards and be submitted through the CGA Portal.

Applicable Fees

Upon submission, CGA will generate an invoice for the relevant review fees. The review process will initiate once payment is received in full.

The current fee structure is as follows:

For B2C licensees:

  • UBO change: €150 per individual;
  • Qualified Interest Holder change: €150 per individual;
  • Listed UBO (e.g., on a stock exchange): €2,551 per UBO.

For B2B licensees:

  • UBO change: €150 per individual;
  • Qualified Interest Holder change: €128 per individual;
  • Listed UBO: €2,551 per UBO.
