Annual Obligations for Cyprus Companies: Deadlines, Filings, and Consequences

A Cyprus company is not a set-and-forget structure. Maintaining it in good standing requires a defined set of annual obligations, each with specific deadlines and real consequences for non-compliance.
Annual Return
Every Cyprus company must file an Annual Return with the Registrar of Companies, confirming current details of directors, shareholders, registered office, and share capital. Late filing attracts escalating fines. Persistent non-filing can trigger strike-off proceedings.
Audited Financial Statements
Cyprus law requires every limited company to prepare annual financial statements in accordance with International Financial Reporting Standards (IFRS), audited by a licensed Cyprus auditor. The audit must be completed and the statements filed with the tax authorities and the Registrar within prescribed deadlines.
Corporate Tax Return
The company must file an annual corporate tax return with the Cyprus Tax Department. Provisional tax payments fall on 31 July and 31 December of the current tax year, based on the company’s own estimate of its liability. Accurate provisioning avoids penalties and interest on underpayment.
VAT Returns
Companies registered for VAT must file quarterly VAT returns. EU intra-community supplies generate additional reporting obligations through EC Sales Lists. VAT compliance is fast-moving — missed quarterly filings accumulate into significant penalties quickly.
Beneficial Ownership Filing
Companies must maintain and update beneficial ownership information through the UBO Register, filed annually and whenever material changes occur during the year.
The Cost of Getting It Wrong
Missing deadlines triggers penalties. Failing to file for consecutive years can initiate strike-off proceedings, exposing company assets to serious legal risk. The cost of maintaining compliance is modest and predictable; the cost of neglecting it is material and difficult to reverse.
